In-Person Experiences Host Video Terms

Airbnb offers Hosts of In-Person Experiences on Airbnb the opportunity to have video clips submitted by Hosts (“User Content”) edited by third-party editors to create one finished, edited video ("Edited Content") for use solely on the Airbnb Platform.
If you choose to submit User Content to create Edited Content for an Experiences listing on the Airbnb Platform, you agree to these terms (“In-Person Experiences Host Video Terms”). Airbnb reserves the right to alter these In-Person Experiences Host Video Terms without advance notice by posting a revised In-Person Experiences Host Video Terms. Accordingly, you should review the In-Person Experiences Host Video Terms each time you submit Host Content for creation of Edited Content.
All capitalized terms not defined here have the meaning given to them in the Airbnb Terms. Nothing in these In-Person Experiences Host Video Terms will be construed to amend or contradict the Airbnb Terms unless explicitly stated. If there is a conflict between the Airbnb Terms and these In-Person Experiences Host Video Terms, these In-Person Experiences Host Video Terms control to the extent of such conflict.
User content and edited content licenses
You hereby grant to Airbnb and its related companies, agents, licensees, sublicensees, contractors, successors, legal representatives, assigns, and third-party service providers, and their respective retail partners, marketing, or public relations agencies, and other affiliates (the “Licensed Parties”) a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, sublicensable right to use, display, or modify your User Content in any manner to be determined in the Licensed Parties’ sole discretion, including but not limited to on webpages and social media pages operated by the Licensed Parties, in promotional emails and advertisements, and in any and all other marketing, promotional and advertising initiatives, and in any media now or hereafter known. The Licensed Parties may use, display, reproduce, distribute, transmit, create derivative works from, combine with other materials, alter, and/or edit your User Content in any manner in their sole discretion, with no obligation to you whatsoever.
You grant the Licensed Parties the right to use your username, real name, image, likeness, descriptions of you, location, or other identifying information, including but not limited to your voice, in connection with any use of your User Content.
You hereby agree and represent and warrant that (i) you are solely responsible for your User Content, (ii) you own all rights in and to your User Content and/or have obtained appropriate rights and permissions from any and all other persons and/or entities who own, manage, or otherwise claim any rights with respect to such User Content, (iii) you are not a minor, (iv) any guest featured in Host Content has provided explicit consent for the use of their likeness by you, and Airbnb in Airbnb’s discretion, (v) the Licensed Parties’ use of your User Content as described herein will not violate the rights, including but not limited to copyright, trademark, patent, trade secret, privacy, publicity, moral, proprietary, or other rights, of any third party, or any law, rule, or regulation, and (vi) the User Content is not libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive or otherwise unlawful, (vii) you are responsible for ensuring that the User Content doesn’t violate your obligations under the Airbnb Terms of Service and meets all Airbnb Experiences standards and requirements, including any requirements specifically related to this video editing process, and (viii) you direct Airbnb edit User Content to create the Edited Content and to upload the Edited Content to your Experiences listing page without further review.
Further, solely with respect to the Edited Content, you agree that (i) Airbnb shall own the Edited Content and may use the Edited Content in its discretion for any business purpose, including without limitation, advertising, marketing, merchandising, publicity, editorial, or any other business purposes, throughout the world, in any and all media, and, Airbnb grants to you a non-exclusive, limited, revocable, royalty-free, perpetual license to use the Edited Content for the sole purpose of advertising and promoting your Listing on the Airbnb Platform.
You hereby release, discharge and agree to hold the Licensed Parties, and any person acting on their behalf, harmless from any liability related in any way to the Licensed Parties’ use of your User Content.
Additional terms
These In-Person Experiences Host Video Terms apply to the entire Airbnb Platform, the Airbnb properties, Airbnb services, to your User Content and Edited Content unless otherwise provided. In addition, to the extent your User Content or the Edited Content is displayed on the Airbnb Platform or on any of the Airbnb properties or in connection with the Airbnb services, you also will be subject to additional terms of use, agreements, guidelines or rules provided by Airbnb applicable to such User Content and Edited Content, including but not limited to those set forth on the Airbnb website at https://www.airbnb.com/terms, and you hereby agree to be bound by such additional terms of use or service, agreements, guidelines, instructions or rules provided or posted by Airbnb (the “Airbnb Terms”). You certify that you are at least 18 years of age.
Intellectual property rights
The Airbnb Platform, Airbnb services or Airbnb properties may be protected by copyright, trademark and other intellectual property laws. You acknowledge and agree that you do not acquire any ownership or other rights in proprietary information and materials of Airbnb by authorizing use of your User Content or otherwise using or accessing the Airbnb Platform, the Airbnb services, or the Airbnb properties.
Miscellaneous
These In-Person Experiences Host Video Terms are personal to you and may not be assigned or transferred by you for any reason whatsoever without Airbnb’s prior written consent; and any action or conduct in violation of the foregoing shall be void and without effect.
You agree that if Airbnb does not exercise or enforce any legal right or remedy which is contained in these In-Person Experiences Host Video Terms (or which Airbnb has the benefit of under any applicable law), this will not be taken to be a formal waiver of Airbnb’s rights and that those rights or remedies will still be available to Airbnb.
If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these In-Person Experiences Host Video Terms are invalid, then that provision will be removed without affecting the rest of the In-Person Experiences Host Video Terms. The remaining provisions of these In-Person Experiences Host Video Terms will continue to be valid and enforceable.
